HeyMOE Affiliate Agreement

Version 4.2 · Effective October 15, 2026

This agreement covers referral payments, client protections, and participation in HeyMOE's standard Affiliate Program. It is between Hey Moe, LLC dba HeyMOE, a Wisconsin limited liability company ("HeyMOE," "we," or "us"), and the participating person or organization ("you" or "Affiliate"). It takes effect when you sign, accept electronically, or begin participating after receiving it. Anyone accepting for an organization must have authority to bind it.

An "Umbrella" is an approved FMO or broker that enrolls agents or agencies ("Child Affiliates") through its umbrella link. Affiliate rules apply to Umbrellas unless a specific Umbrella rule controls.

1. Protecting your clients

A "Protected Client" is a person whose genuine account is attributed to your referral link or code, including a documented correction. Protection starts at account creation, or this agreement's effective date for existing referrals. It is automatic: no separate application, additional approval, payment, continued referrals, earnings, or minimum volume is required.

Our promise. We will not use the referral relationship, subscriber information, or access to market, sell, recommend, solicit, refer, or generate leads for Medicare Advantage, Medicare Supplement, prescription drug plan enrollment services, life insurance, annuities, or long-term care insurance, or divert Protected Clients to an insurance business or competing advisor.

We will not share their identifying, contact, account, health, or other subscriber information with insurance agencies, agents, brokers, FMOs, carriers, lead generators, or competing advisors, except for the limited referral records and separately authorized access in Sections 7 and 8. Those permissions do not authorize broader sharing, marketing, or enrollment activity.

We will not sell, rent, or license their information for another person's marketing, including deidentified or aggregated information used to target or profile them. We will not claim to replace you, tell clients they no longer need you, or request or accept your client list for prospecting or marketing. A client's signup or separately authorized access does not transfer your client list.

How long protection lasts. These promises last for the client's life, despite cancellation, return to HeyMOE, affiliate inactivity or termination, or an Umbrella change. No amendment, side agreement, transfer, termination, program change, or website terms or policy update may reduce them. Death ends this lifetime restriction, but not other privacy, confidentiality, or data-use duties or liability for earlier breaches. Payment rights are separate under Sections 4, 5, and 12.

If HeyMOE is sold. We may sell, merge, reorganize, or assign HeyMOE without your approval. We must require a successor operating HeyMOE or acquiring its business or Protected Client information to assume these protections and existing-referral payment obligations, including on later transfers. Related companies receiving or using that information must honor the protections. We cannot evade them through another entity. We will keep sufficient records to honor protected clients' rights, consistent with privacy and retention requirements. A future owner may change or end the program for future referrals with Section 11's notice.

Permitted operations. We may operate and support HeyMOE, bill customers, send renewal reminders, and explain our products and features consistently with these promises. We may use service providers bound by confidentiality and use restrictions, make legally required disclosures, and transfer information to a bound successor. Owners and related businesses may serve independently established clients, use independently obtained information, and run general advertising that does not target Protected Clients using HeyMOE information. Copying, deriving, or routing that information through another entity does not make it independent.

Each Protected Client may enforce this section as an intended beneficiary, even if the affiliate dies, closes, or has no successor. Section 15 governs remedies; Section 16 distinguishes affiliate disputes from subscriber disputes. Independent rights under law or separate terms remain unaffected.

2. Who may participate

We approve individuals and organizations in the United States and may restrict participation by state, activity, account type, or risk to HeyMOE or subscribers. You must have legal capacity, keep account and tax information accurate, and follow applicable law, professional and fiduciary duties, employer and agency policies, carrier agreements, and other contracts.

HeyMOE is a paid educational comparison and reminder service, not Medicare, a government agency, insurer, or insurance plan. It does not sell insurance, enroll subscribers, or transmit applications. Medicare has not reviewed or endorsed it.

You do not need an insurance license solely to promote HeyMOE; unlicensed affiliates may make approved factual promotions and referrals. You remain responsible for required licenses, registration, appointments, certification, and disclosures. Our approval neither establishes compliance nor expands your professional authority. This agreement grants no authority to sell, solicit, negotiate, enroll, or advise on insurance. Health access follows Section 8.

An individual or agency may own an account, with agency agents sharing its referral link. The owner designates the payee, keeps participating-personnel information current, allocates payments internally, and is responsible for account activity. Sharing a link does not permit sharing credentials or health access.

3. How referrals are credited

A referral is fixed when the client creates an account using your link or code. Later clicks do not change attribution, and returning clients retain it, including after cancellation and reactivation. We may correct documented errors or fraud; otherwise our records control calculations. Earlier visits without attribution at signup do not guarantee credit.

Umbrella links enroll Child Affiliates, not subscribers. A child may switch Umbrellas by written request with HeyMOE approval. The original Umbrella keeps eligible $1 payments on clients whose accounts were created through the child's link or code before the switch; the new Umbrella earns them on later referrals. The child's attribution and payment rights stay unchanged. Switching alone ends neither agreement.

Do not manipulate tracking or codes, force clicks, place cookies without affirmative customer action, use deceptive redirects, or claim unauthorized referrals. Your own or controlled subscriptions, transactions primarily arranged to generate payments, duplicates, tests, fraud, refunds, and chargebacks do not qualify.

Turning off renewal does not itself disqualify the current paid subscription. Sponsored subscriptions qualify only under Section 6's written terms.

4. What you earn

You earn $10 for each eligible initial paid annual subscription and each eligible paid annual renewal. An eligible Umbrella earns an additional $1 from HeyMOE on the same transaction, without reducing the child's payment. Its renewal payment follows the client's renewal and the child's eligible $10. There are no additional recruitment tiers or payments for enrolling affiliates.

A paid annual reactivation of the same account counts as a renewal. Each paid annual period generates at most one affiliate and one eligible Umbrella payment. Subject to Section 12's misconduct exception, these payments continue while clients renew, including after affiliate termination or a sale of HeyMOE. No continued referrals are required.

Payments are for software referrals, not insurance advice, selection, enrollment, or commissions. They do not vary with carrier, plan, premium, coverage, or enrollment decision.

Referred clients receive $5 off the published first-year annual price, funded by HeyMOE without reducing your payment. Standard payments do not depend on subscription prices. Promotions change payments only with your agreement to disclosed terms before participation. Group purchases and negotiated exceptions require signed terms under Section 17. There are no automatic volume tiers, bonuses, or inflation adjustments.

Rate or discount changes for future referrals require at least 30 days' notice. Existing-referral $10 and $1 rates cannot decrease without the affected payee's express written acceptance. Changes cannot end Section 12 renewal rights or qualify disallowed transactions. Customer subscription terms are separate.

5. When and how we pay

Eligibility. After we receive an initial or renewal payment, referral earnings become eligible when the first comparison covered by that payment becomes available or 30 days after payment, whichever comes first. This closes the ordinary refund window. Opening results is unnecessary; results from an earlier payment do not count. The child's $10 and Umbrella's $1 qualify together. Refunded, charged-back, or otherwise disqualified transactions do not qualify.

Payment schedule. Ordinary affiliates are paid monthly; Umbrellas quarterly. Payment is due within 30 days after the relevant calendar period ends, covering all unpaid eligible earnings through that period, with no minimum. An account in both roles follows both schedules. We may pay manually or automatically through Stripe or another designated method; no dashboard is required.

Provide a valid W-9 and information reasonably needed for payment, taxes, sanctions screening, and legal compliance. Missing information delays payment but does not erase earnings or end participation. Balances accumulate, we will reasonably attempt to notify you, and completed information puts payable balances into the next applicable cycle. Unclaimed funds follow applicable law, including required notices and transfer to the state; they do not automatically become ours. You bear your taxes; we make required withholding and reports.

Holds and recovery. For disputes, refunds, chargebacks, or documented eligibility concerns, we may hold only reasonably affected amounts and must explain why. Unrelated undisputed earnings remain payable; resolved eligible amounts enter that month's or quarter's cycle.

An ordinary refund or chargeback after payout may be deducted from future earnings, but you need not repay any shortfall out of pocket. We may ask you to return accidental overpayments, including duplicate payments, or payments obtained through fraud or deliberate abuse. These limits apply throughout this agreement, including after termination. We may also withhold future payments for amounts you owe under this agreement that are finally determined or agreed in writing.

Termination does not change payment schedules or accelerate future renewals. Later-eligible amounts enter the next applicable cycle, subject to Section 12. Report incorrect or missing referrals or payments promptly after discovery to affiliates@heymoe.com with available information. We will investigate and correct confirmed errors.

6. Who may pay for a subscription

Insurance agents may never fund or subsidize client subscriptions, directly or indirectly, including reimbursement or funding through another person or organization. Another professional title does not avoid this rule.

Financial planners, employers, associations, affiliate groups, and other organizations may sponsor subscriptions where law, regulation, and professional duties permit. A written agreement with HeyMOE must specify pricing and any affiliate or Umbrella earnings; standard payments are not automatic for sponsored seats.

An FMO may fund its agents' clients only after HeyMOE's counsel approves the specific arrangement in writing and HeyMOE enters a separate written agreement. The FMO's own assurance or legal opinion is insufficient. This does not permit agent funding or reimbursement. HeyMOE's referral discount remains permitted. Sponsorship does not replace consent, grant health access, or reduce client protections.

7. Referral information and dashboards

We may provide basic identifying, referral, subscription, and payment records through dashboards or other means, consistent with subscriber disclosures and required consent. We email you when someone completes signup through your link or code. Neither these records nor signup emails include medications, pharmacy preferences, comparison results, or other information requiring separate Section 8 authorization.

Use referral records and exports only to reconcile referrals and payments. Do not scrape, sell, share, profile, market from, or otherwise misuse them. Names and emails are not marketing permission; lawful communications with your own clients using independently obtained contacts and permissions remain allowed.

We may add, remove, change, or correct fields, features, and exports. Records need not be real-time; no fixed dashboard or release date is promised. Umbrellas receive links, notices, and payment information directly where needed, without admin, child-account, or health access. Suspension or termination ends dashboard access unless we allow limited reconciliation. Interface changes do not alter earnings, payment deadlines, client protections, or consent requirements.

8. Client permission and agent access

Who may request access. Licensed insurance agents or brokers and other HeyMOE-approved types of professionals may request view-only access for clients attributed to their affiliate account, through available features. We may change approved categories for future requests. Access never expands lawful professional authority.

The client's choice. Anyone helping a client create or set up an account must have the client's permission. That assistance does not give the helper ongoing access to the client's medications or results. Optional access requires the client's separate, explicit consent through HeyMOE’s access process. Separate, explicit, voluntary Agent Access consent must identify the individual, company, data, and purpose. You cannot consent to access on a subscriber's behalf or condition service on consent. Affiliate status, links, sponsorship, and agreement or Terms acceptance do not supply permission.

Access covers only the medication information, pharmacy preferences, Part D results, and related derived information authorized in that consent. Use it solely to help that client understand their HeyMOE results. Do not edit account information, market other products, profile, generate leads, or sell, transfer, or share the information, including with agency or Umbrella personnel.

Viewing permission does not itself authorize transferring information to an insurer or submitting an application. It does not authorize HeyMOE to enroll clients, transmit applications, or disclose information for enrollment. Your licensing, privacy, and professional duties continue.

Ending access. Clients may decline without affecting service or revoke immediately in Agent Access settings. Access also ends when the authorized agent loses entitlement through the account or affiliate participation ends. Revocation cannot undo viewing, but stops further access and use; confidentiality, security, and deletion duties continue. Account or payment-right transfers do not transfer consent. A new insurance agent receives neither referral attribution nor access merely because the client changes agents. Refusal or revocation does not affect otherwise eligible referral earnings.

We may offer separate features for clients to authorize family members or others, but are not required to do so.

9. Promoting HeyMOE

During participation, you have limited, revocable, nonexclusive permission to use our name, approved logos, links, and current materials for authorized promotion. Do not transfer or sublicense that permission. Follow brand guidelines, retain ownership notices, and stop using withdrawn materials. Each party retains its intellectual property.

Be truthful and support your claims; honest opinions based on actual experience are allowed. Disclose your financial relationship near endorsements and links, for example: "I may receive a referral payment if you subscribe through this link." Video disclosures must appear on screen and be spoken with the recommendation. Forward product and billing complaints to affiliates@heymoe.com rather than resolving them for us.

Do not imply government, Medicare, or insurer endorsement; guarantee savings or the best plan; misrepresent experience; fake reviews, testimonials, followers, or engagement; reward positive reviews; improperly pressure removal of negative reviews; or impersonate independent reviewers, news, or government. Do not steer insurance choices because of HeyMOE earnings.

Do not alter our logo, claim our intellectual property, register confusing domains or handles, or imply you represent or work for us or are our exclusive partner. Public partnership announcements and press releases using the other party's name require its written approval. Avoid promotion alongside unlawful activity, hate speech, deceptive health claims, or materially harmful content.

Follow email, phone, text, privacy, do-not-call, and platform rules. Do not use purchased, scraped, harvested, or unlawfully shared lists. Obtain and retain required consent for automated or prerecorded marketing calls and texts. Honor opt-outs and provide required sender details, advertising identification, postal addresses, and unsubscribe options. Keep compliance records.

Written approval is required for trademark bidding or confusing variants, adware or browser extensions, otherwise unauthorized coupon listings, lead resale, and outside sub-affiliate networks. Approved Umbrella arrangements are allowed. Current approved materials, claims, prices, and discounts may be reused without repeated approval. New or altered factual claims, customized co-branded materials, and designated campaigns or channels require approval; format alone does not.

We may require correction or removal immediately for legal, privacy, security, or consumer harm concerns, otherwise within two business days. These rules are binding; optional guides cannot expand them. Changes follow Section 11.

10. Confidentiality and compliance

Keep nonpublic client, program, technical, pricing, security, and business information confidential and use it only as authorized. Exceptions require documentation that information was lawfully public, already known without restriction, independently developed, or legitimately received without a confidentiality duty. Except for Section 8 access, do not collect, request, upload, or transmit health information for HeyMOE. Do not sell, combine, share, or use customer information for advertising, insurance solicitation, or unrelated purposes.

Security and notice. Use reasonable administrative, technical, and physical safeguards, including individual credentials, access controls, current devices and software, and secure storage. Either party must notify the other without unreasonable delay and within 72 hours after discovering an incident reasonably appearing to involve unauthorized access, disclosure, or misuse of the other's information. Affiliates must likewise notify us about subscriber information obtained through the program. Routine blocked attempts without such evidence do not trigger notice.

Send known facts promptly, even if preliminary; do not wait for a completed investigation. Provide material updates, preserve evidence, and cooperate with investigation, mitigation, and required notices. This deadline does not extend or replace legal notice duties to individuals or regulators. Notify HeyMOE at affiliates@heymoe.com; we use your account contact information.

Deletion and responsibility. On request or termination, stop using and securely delete HeyMOE confidential information and client data, including exports, except legally required records. Restrict retained records to that purpose, protect them, and confirm deletion in writing on request. Cooperate with subscriber access, withdrawal, and deletion requests and honor HeyMOE deletion notices as required by law.

Section 8 information is shared at the client's direction. You receive it independently, not as HeyMOE's processor or service provider, and are responsible for handling it under this agreement and law. This grants no additional collection, editing, sharing, or marketing permission. These confidentiality, use, security, and deletion duties continue after participation. Competing work is allowed without misuse of protected information.

Cooperate with compliance reviews of public promotions, marketing and consent records, complaints, and link testing, and reasonable training or certification. Respond within seven business days, sooner for identified urgent legal, security, privacy, or consumer concerns. Noncompliance may lead to suspension, Section 5 holds, or termination. Our review or approval does not excuse your responsibilities or waive our rights.

11. Changes and annual confirmation

Changes require at least 30 days' notice by email, available dashboard, or both. Continued participation accepts changes unless express consent is required. Immediate changes are allowed when reasonably necessary for law, regulation, fraud, security, privacy, platform requirements, or material consumer harm. All changes remain subject to Section 1 client protections and Section 4 rate protections. If an immediate change materially reduces economic rights, you may end participation with Section 12's applicable renewal rights.

About annually, we ask you to confirm contact and tax information and participation. After 30 days without response and at least two reminders, we may mark your account dormant, disable links, and remove it from the active roster. Dormancy does not terminate participation, start a termination period, or stop eligible renewals. Completing the check-in restores the account.

12. Inactivity and ending participation

Accounts are free. Inactivity, stopping promotion, or missing bank information alone does not terminate participation or stop eligible earnings. Either party may terminate without cause by 30 days' written notice, effective on the stated date, no earlier than 30 days after receipt, or 30 days after receipt if none is stated.

We may suspend links, access, or disputed payments while investigating suspected fraud, unlawful conduct, security risk, subscriber harm, or material breach. Immediate termination for cause includes fraud, abusive or self-referrals, unlawful messages, deceptive or unauthorized claims, intellectual-property misuse, confidentiality or security breaches, loss of a required license, material reputational harm, failure to cooperate, or other material breach. Warnings or opportunities to correct are discretionary where correction poses no material risk.

Payments after termination. Legitimate existing referrals keep eligible annual renewal earnings for both affiliates and Umbrellas, without a 12-month cutoff. The exception: termination for fraud, fake or self-referrals, or misuse of client information ends future renewals, as does engaging in that misconduct after leaving. Other termination grounds do not themselves end legitimate renewal earnings. If a child's renewals end under this exception, the Umbrella's $1 on those clients also ends. Termination otherwise does not itself erase legitimate payments or affect other children.

Disqualified transactions remain unpaid; Section 5 governs holds, recovery, and continuing payment schedules. New subscriber signups after termination earn nothing.

Access and materials. Stop presenting yourself as an affiliate and using referral links; remove our marks and promotional materials within five business days. Access to subscriber information and affiliate tools ends except for limited reconciliation we permit. Referred users keep their accounts and subscriptions; HeyMOE may continue serving and communicating with them subject to privacy commitments and client protections.

Client protections, accrued and continuing payments, confidentiality, security, intellectual-property ownership, indemnity, liability limits, dispute resolution, and other obligations intended to continue survive termination.

13. Independence and transfers

You are an independent contractor, not our employee, agent, partner, joint venturer, franchisee, fiduciary, or representative. You cannot bind us, collect payments for us, or change our terms. You control lawful promotion and bear personnel costs, expenses, insurance, licenses, and taxes. We guarantee no minimum referrals, earnings, territory, exclusivity, or continued participation. Competing work remains subject to confidentiality, data-use, and intellectual-property duties.

With HeyMOE approval and the successor accepting this agreement, an individual's account and future payments may pass to an estate or named beneficiary on death or incapacity, or an affiliate's rights may pass to a buyer of its book of business. Eligibility does not expand. Other transfers of accounts, agreements, or payment rights require written consent.

We may assign to a related company or through financing, merger, reorganization, or equity or asset sale, subject to Section 1. Assignment does not reset attribution, protected rates, or continuing payments.

14. Responsibility for third party claims

You will defend, indemnify, and hold harmless HeyMOE and its affiliates, owners, officers, employees, and service providers against third-party claims, investigations, losses, penalties, judgments, costs, and reasonable attorney fees arising from your content or conduct, violation of law or this agreement, infringement or misuse of third-party rights, or unauthorized data access, disclosure, or use. This means providing a defense and covering those losses and costs.

HeyMOE will defend and indemnify you against third-party claims that authorized, unmodified use of its current marketing materials infringes a United States trademark or copyright, except to the extent caused by modification, combination, use after withdrawal, or breach of this agreement.

The protected party must promptly notify and reasonably cooperate with the defending party, which controls defense and settlement. No admission of fault or nonmonetary obligation may be imposed on the protected party without consent. Late notice relieves duties only to the extent materially prejudicial. Section 5's recovery limits apply.

15. Limits on liability

The program, dashboard, links, and materials are provided "as is" and "as available." To the extent legally permitted, HeyMOE disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free tracking or access. Our express promises remain binding.

To the extent legally permitted, neither party owes the other indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, or data, even if advised of the possibility. This does not reduce referral payments owed.

Each party's total liability under this agreement is capped at referral payments paid or payable to the affiliate in the 12 months before the event causing the claim. The cap excludes payment and indemnification obligations, fraud, willful misconduct, intellectual-property infringement or misuse, and liability that law does not allow us to limit. Affiliate confidentiality or data-security breaches are also excluded. Those breaches by HeyMOE remain capped unless another exception applies. Section 1 is not separately uncapped; these exceptions still apply where their requirements are met.

An affiliate or Protected Client may seek a court injunction to prevent or stop a Section 1 violation. The court determines entitlement. This provision creates no automatic penalty, guaranteed order, or additional monetary damages. A client's Section 1 claim is subject to these limits and exceptions, with a payment-based cap measured by the referring affiliate's payments. The Terms of Service cannot impose a second, lower cap or shorter deadline on that claim. Independent rights under law or separate terms remain intact. Unenforceable exclusions or limits apply only as far as law permits.

16. Disputes and governing law

Before a formal claim, send written notice of the dispute and requested relief and allow 30 days for good-faith resolution by authorized representatives. This does not delay a Section 1 injunction request or other temporary or preliminary relief.

Disputes between HeyMOE and you in your affiliate capacity relating to this agreement or program go to confidential, binding American Arbitration Association arbitration under its Commercial Arbitration Rules before one arbitrator. Eligible small-claims actions, temporary or preliminary injunction requests, and temporary, preliminary, or permanent injunctions enforcing Section 1 may go directly to court. Related monetary claims remain arbitrable unless eligible for small claims.

The Federal Arbitration Act governs. Arbitration is in Milwaukee County, Wisconsin unless the parties agree to remote proceedings or another location. Claims must be individual, not class, collective, consolidated, or representative. The arbitrator may award only relief needed for the individual case.

Wisconsin law governs without its conflict-of-law rules. Permitted court proceedings and award enforcement belong exclusively in Milwaukee County, Wisconsin courts, to whose jurisdiction and venue the parties consent.

Subscribers enforcing Section 1, and affiliates disputing their own subscriptions as subscribers, follow the Terms of Service dispute procedure. Referral status alone does not subject a subscriber to commercial arbitration or individual-claim restrictions.

17. Notices and other terms

Notices. Program notices take effect when emailed to your account or posted in an available dashboard. Keep contact details current; accounts without dashboards receive email. Send legal notices to affiliates@heymoe.com and by nationally recognized overnight courier or certified U.S. mail to Hey Moe, LLC dba HeyMOE, 1009 W. Glen Oaks Lane, Suite 105, Mequon, Wisconsin 53092, Attention Legal Notice. They take effect on confirmed delivery. Routine corrections may be emailed under Section 5.

Negotiated terms. A partner agreement signed by you and an authorized HeyMOE representative may change expressly identified commercial terms; all others remain. Proposals or informal exchanges do not amend this agreement. A partner agreement cannot waive existing client protections, replace consent, or authorize prohibited funding.

Other documents. This agreement and written partner agreements replace earlier program discussions and agreements, preserving existing client protections and accrued rights. They control the entire affiliate relationship over the Terms of Service, including attribution, payments, conduct, and manual Umbrella arrangements, with or without dashboards. The Terms govern personal subscriptions; the Privacy Policy describes information handling. Neither overrides Section 1 or separate consent limits. Acceptance is not Agent Access consent. Optional guides do not amend this agreement.

Unenforceable terms will be narrowed only as needed; the rest remains effective. Waivers must be written and specific. Neither party is responsible for delays beyond reasonable control, except amounts already due and confidentiality or security duties. Headings are for convenience. Only Section 1 grants third-party enforcement rights; independent subscriber rights remain unaffected.

Electronic acceptance, signatures, and counterparts count as originals. Written approvals may be electronic unless another method is required. Acceptance or participation after receiving this agreement confirms you have read and agreed to it.
